Supplementary Terms Relai AG: Referral & Donations

1. Background

These Supplementary Terms for Referral and Donations (hereinafter referred to as the “Supplementary Terms”) are linked to the Relai Terms and form part of the agreement entered into between you (hereinafter referred to as “you” or “your”) and the relevant Relai entity providing the services to you (hereinafter referred to as “Relai”, “we”, or “us”).

Depending on your place of residence:

– if you reside in Switzerland or outside the European Union / European Economic Area, the relevant contracting party is Relai AG, a company incorporated under Swiss law;
– if you reside in the European Union or the European Economic Area, the relevant contracting party is Relai EU SASU, a company incorporated in France.

Capitalized terms used in these Supplemental Terms shall have the same meaning as defined in the “Definitions” section of our Terms & Conditions, unless expressly stated otherwise herein. For the full list of definitions, please refer to the relevant Article 1 in the main Terms.

2. Referral Program

The Referral Program (“Program”) is designed to reward existing Clients (“Referrers”) for referring new Clients (“Referred Clients”) to the Apps. Each Referrer receives a unique personal referral code (“Referral Code”) and can generate referral income by introducing new Clients via the individual Referral Code provided by Relai. 

The Referral Program is an ICT-enabled feature of the Relai Apps and relies on automated systems, technical controls, and internal monitoring processes. Relai may temporarily suspend, restrict, or disable the Referral Program, in whole or in part, for technical, security, integrity, or operational resilience reasons, including where necessary to comply with applicable ICT risk management and digital operational resilience obligations.

Each Client has a unique personal Referral Code and can generate referral income by introducing new Clients via the individual Referral Code provided by Relai. Referred Clients must enter the Referral Code at the time of registration for the Referrer to be eligible for rewards. Referred Clients must be new Clients who have not previously registered an account on the Apps.

Participation in the Program is optional, and non-binding. Participation implies full and unreserved acceptance of these Terms. Any breach may lead to cancellation of participation and recovery of improperly received rewards. Relai also reserves the right to refuse participation to any individual in dispute with Relai or suspected/found guilty of fraud. Both Referrers and Referred Clients (together, the “Participants”) have to be customers of Relai when these Terms are in force and effective and accepted. Participants can terminate their participation at any time without justification.

Access and participation in the Program is in each Client’s own responsibility. It is incumbent upon each Referrer to verify and ensure that their participation is in full compliance with the laws and regulations applicable in their respective jurisdiction, in the jurisdiction into which the Referral Code is shared, and in the jurisdiction of the Referred Clients. Relai does not assume responsibility for non-compliance by Clients with any local or international laws that may apply to them and Relai’s liability towards Clients is excluded to the maximum extent permitted by applicable law. The availability of the Program does not constitute encouragement or advice to engage in any activities that may be deemed illegal or non-compliant in the Client’s jurisdiction or the jurisdictions into which the Referral Code is shared. 

Unless agreed otherwise with a Referrer, the use of the Referral Code provides the Referred Clients with a 0.1 percentage point reduction in Relai fees on the Apps. Referrers will earn a reward equivalent to 0.1 percentage point of the total amount of Bitcoin bought or sold by the Referred Clients through the Relai Apps. Rewards are calculated based on the Referred Client’s transactions and are subject to a maximum earnings cap as described below. Participation in the Program includes earning commissions on transactions made by Referred Clients using the Referral Code. This includes purchases, sales, and subscriptions to weekly savings plans on the Apps. The earned commission is credited to the Referrer’s Wallet on the upcoming 1st of each month.

The Program includes an earnings cap of three months from the date of the Referred Clients’s purchase, sale, or subscription to weekly savings plan done with the Referral Code. After three months from that date on, the Referrer cannot earn commissions with the Referral Code used by the respective Referred Clients. The three-month period applies respectively to each different Referred Clients for the Referrer. Referral earnings are subject to a minimum payout requirement of EUR/CHF 10. The minimum investment amount required for Referred Clients transactions to qualify for the Program is EUR/CHF 50, which may increase at Relai’s discretion. Misuse of the Referral Code or Program, including but not limited to fraud, or any attempt to manipulate, automate, interfere with, or circumvent the technical functioning, integrity, or security of the Referral Program or the Relai Apps (including through scripts, bots, fake accounts, or self-referrals), may result in the forfeiture of accrued rewards and possible legal action. Relai reserves the right to update, modify, or terminate the Program at any time. Changes will be communicated through the Platform or directly to Clients.

The Referral Program is a voluntary and incidental incentive mechanism made available to individual Clients on a non-professional and occasional basis. The Referral Program does not constitute: (a) a regulated crypto-asset service; (b) a marketing or advertising service carried out on behalf of Relai; or (c) a mandate, agency, or representation relationship between Relai and any Referrer. By participating in the Referral Program, you confirm that you are acting in your own name and on your own account, and not in a professional or commercial capacity. Where applicable law requires transparency, Referrers must ensure that any person to whom a Referral Code is communicated is clearly and prominently informed that the Referrer may receive a financial benefit or commission as a result of the referral. Any professional, commercial, habitual, or organized promotion of Relai or its services (including through business entities, structured online campaigns, monetized channels, or as part of a business offering) is not permitted unless a separate written agreement has been entered into with Relai in advance.

Relai reserves the right to assess whether referral activities comply with these requirements and to suspend participation in the Referral Program and/or withhold referral rewards in the event of non-compliance. For these purposes, Relai may apply automated and manual monitoring, logging, and control mechanisms to detect abnormal, suspicious, or non-compliant referral activity, in accordance with applicable data protection laws.

3. Charity Referral Program

3.1 Donations via Referral

Clients may choose to support a charitable organization listed on our Donations page ( the “Charity”) by entering the corresponding Charity referral code (the “Charity Referral Code”)  in the Referral Code field during the investment preview phase of their transaction (the “Charity Referral Program”). By doing so: (i) the selected Charity will receive 10% of the net revenue generated by that transaction (the “Donation”), and (ii) the Client will receive a 10% discount on the applicable transaction fees. This feature is available for all transactions with a minimum investment amount of EUR/CHF 50. Referral codes must be valid and associated with Charities previously approved and published on our Donations page. Charities must provide a valid and compatible bitcoin wallet address to receive donations. Relai will process and send the Donation amounts directly to the address provided, on a periodic basis. Each Charity is responsible for ensuring that the address is accurate, active, and able to receive funds. Relai shall not be liable for failed, delayed, or lost transfers resulting from incorrect, outdated, or incompatible wallet information. Relai does not charge any fees to charities for receiving donations under this program. The Donations via Referral may be modified, suspended, or terminated at our discretion. Donations are executed via blockchain-based transactions and may be subject to operational, technical, or network-related risks, including delays, congestion, or irreversible execution errors inherent to distributed ledger technology. Relai does not guarantee uninterrupted availability of donation-related features.

3.2. Donor Terms

All donations made through our Charity Referral Program are at your own risk. By entering a Charity Referral Code linked to a Charity, you authorize Relai to allocate a percentage of the transaction revenue (currently 10%) to the Bitcoin address provided by that charity.  Relai makes no representation or warranty regarding: (a) how the Charity will use the donated funds; (b) whether the Charity is officially registered or recognized in your jurisdiction; (c) any claims, offers, or communications made by the charity; (d) the accuracy, completeness, or current status of the information provided by the charity (including their wallet address). Relai does not mediate or monitor how funds are used after they are transferred. Any concerns about donation usage should be addressed directly to the recipient charity.  All donations are considered unrestricted. Any preference you may express (e.g., donating in support of a specific project or campaign) is non-binding and entirely at the charity’s discretion. Relai has no control over how the funds are used once sent and assumes no role in any dispute between you and the charity.  By using the Referral Code to support a charity, you confirm and warrant that: (a) you are at least 18 years old or of legal age to form a binding agreement; (b) you are authorized to participate in the transaction and to use a valid referral code; (c) your use of the referral code is lawful in your jurisdiction; (d) the resulting donation is made as an unrestricted gift, not conditioned on any use; (e) Donations are made via the Relai platform, but Relai does not collect, hold, or control any portion of the donated amount on behalf of the charity; (f) all Donations are final and non-refundable.

3.3 Donation Receipts

Relai does not issue receipts or tax certificates for donations made through referral codes. Contributions are made by Relai on behalf of the user, and no part of the donation is made directly by the user to the charity. For this reason, donations do not qualify as tax-deductible in any jurisdiction. Relai makes no representations regarding the tax treatment of any donations made through its services. You are solely responsible for determining whether any donation is eligible for tax deduction or credit, and you should consult a tax advisor regarding your specific situation.

3.4 Donor Information

Relai does not share your personal information with the recipient charity. Donations are processed anonymously on-chain to the Bitcoin address provided by each charity. For more information on how we handle personal data, please refer to our Privacy Policy

4. Client Responsibility

By participating in the Program, Clients confirm their understanding and compliance with local laws applicable to them regarding referral programs and cryptocurrencies. Clients acknowledge that they are participating at their own discretion and risk and represent and warrant that their participation does not violate any local marketing, financial, or legal restrictions. The Clients acknowledge and agree that distributing the Referral Code in jurisdictions outside of EU and Switzerland or otherwise actively marketing the Relai Apps outside of EU and Switzerland may be in violation with local laws outside of EU and Switzerland and, as such, lead to legal liability, regulatory sanctions, and/or criminal investigations against the Client and/or Relai. Clients shall indemnify Relai from any damages, fines, costs (including reasonable legal fees) that arise out of or in connection with the Clients breach of these terms or any applicable law. 

Nothing in these Supplementary Terms shall limit Relai’s ability to take measures required to ensure the security, integrity, availability, and resilience of its ICT systems and services, including measures adopted pursuant to applicable digital operational resilience regulations.
